1. Agreement to These Terms

These Terms of Service govern the use of this website and the home studio assembly services provided by Daw Assemble Inc. By sending an enquiry, accepting a quotation or allowing a crew to begin work, you agree to these terms. If you do not agree, please do not use the website or engage the service.

Where a signed quotation or a separate written agreement contains different terms, the signed document takes priority for that project. These terms fill the gaps and apply to everything that is not expressly covered elsewhere.

We may update these terms from time to time. The version in force on the date a quotation is accepted applies to that project, unless both sides agree otherwise in writing.

2. The Company

The service is provided by Daw Assemble Inc., a company working in computer systems design and related professional services, with premises at 2799 Kingston Road 901, TORONTO - M1M 0E3, Canada (CA). The company can be reached by email at assembly@dawassemble.autos and by telephone on +18065456780.

The trading name DAW Assemble is used for the build bench and for project documentation. A contract made under that name is a contract with Daw Assemble Inc. and no separate entity is created by the use of the shorter name.

References to we, us and our in these terms mean Daw Assemble Inc. References to you and your mean the client, whether an individual, a company or another organisation that engages the service.

3. Scope of Services

We assemble and install home studio equipment. The service list includes desk rig assembly, acoustic panel mounting, cable dressing runs, studio rack setup, monitor stand builds and studio tune-up visits. A project may include one service or several, depending on the scope agreed in writing.

The service is physical assembly, placement and documentation. We are not a recording school, an instrument retailer or a concert venue, and nothing in these terms should be read as a promise to teach production, supply retail goods or host performances.

Work is carried out at the address stated in the quotation. Any additional address requires a separate scope and may attract a travel charge.

Where a quotation describes a service in general terms, the detailed work is set out in the build order attached to it. The build order records the sequence, the hardware and the handover items for that project.

4. Quotations and Estimates

A quotation is valid for thirty days from the date it is issued unless it states a different period. Prices may change after that date because material costs, supplier availability and labour rates can move.

Where we provide an estimate rather than a fixed quotation, the figure is a good faith projection based on the information available at the time. If the work turns out to require more time or material, we will explain the reason and seek approval before continuing.

A quotation is accepted when you confirm in writing or when you allow the crew to begin work after receiving it. Acceptance confirms the scope, the price, the expected dates and the payment schedule.

5. Scheduling and Access

Build dates are reserved once a quotation is accepted. The crew will confirm an arrival window the day before the visit and will call if traffic or a previous project causes a delay.

You agree to provide safe access to the room, to the electrical panel where relevant and to any parking or loading area described in the quotation. If a building has a booking system, elevator rules or a noise window, please tell us before the date is fixed.

Where access is unavailable on the agreed date, the crew may wait for a reasonable period and then leave. A return visit may be charged at the standard rate if the delay was not caused by us.

6. Client Responsibilities

You agree to give accurate information about the room, the walls, the floor, the wiring and the equipment to be installed. If you know of a hidden condition such as asbestos, lead paint, a non standard wall or an unauthorised alteration, tell us before the build begins.

  • Clear the work area of fragile items and personal belongings.
  • Confirm that you have permission to alter the space if you rent it.
  • Provide access to power and to water if the work requires it.
  • Keep children and pets clear of the work area while the crew is on site.
  • Review the handover documents within seven days of the final visit.

If a wall or surface cannot safely carry the intended load, the crew will stop and explain the options. You decide whether to proceed with an alternative method.

7. Changes to a Build

Changes are normal in a build, and they are easiest to handle when they are written down. A change request should describe what is different, when it is needed and whether it affects the agreed dates.

We will respond with the effect on price, materials and schedule. Work on the changed item starts only after you approve the revised figure in writing. If the change adds material that must be ordered, the revised date may move.

Small adjustments made during a visit, such as moving a panel by a few centimetres or shortening a cable run, are handled on the spot where they fall within the original scope.

8. Fees and Payment

Fees are stated in Canadian dollars unless the quotation says otherwise. A deposit may be requested to reserve material and calendar time, with the balance due on completion or according to the schedule in the quotation.

Invoices are payable within the period shown on the invoice. Where a payment is late, we may pause work, withhold handover documents or charge interest at the rate allowed by law.

Travel outside the Toronto area, parking charges, building fees and disposal costs are charged at cost where they are not included in the quotation. Receipts are provided for any such charge.

If a payment is disputed, tell us in writing within ten business days and include the reason. We will review the matter before taking further steps.

9. Materials and Equipment

Materials supplied by us remain our property until they are paid for, although risk passes to you once they are installed in the room. Where you supply your own desk, panels, racks or stands, you are responsible for their suitability and for confirming that the parts are complete.

We inspect client supplied items before installation. If a part is damaged, missing or clearly unsuitable, we will tell you and record the issue in the project notes. Installing a client supplied item does not make us responsible for a defect that was present before assembly.

Surplus material may be left with you for future adjustment or removed for disposal. The quotation will state which approach applies.

10. Existing Conditions and Hidden Defects

Older buildings often contain conditions that are not visible at the walkthrough. A wall may hide steel studs where plaster was expected, a floor may slope by more than the eye suggests or a circuit may be shared in a way that the panel does not reveal.

Where a hidden condition is discovered, the crew will stop the affected work, explain what was found and offer options. We are not responsible for a delay or cost caused by a condition that could not reasonably have been detected before work began.

We do not undertake structural, electrical or gas work unless the quotation specifically states that a licensed trade will carry it out. Where such work is needed, you remain responsible for engaging the appropriate professional.

11. Safety and Site Conduct

The crew works to safe methods and uses protective equipment where the task requires it. We will not drill into a surface that may conceal a service line until we have checked with you and, where necessary, with a detector.

You agree not to obstruct the work area with loose cables, stacked boxes or unstable shelving. If the room is unsafe, the crew may delay the task until the hazard is removed.

Where a build involves lifting racks, desks or panels, the crew will plan the lift before it happens. We ask that clients and visitors stay clear of the lifting area even when the load looks light.

12. Workmanship Warranty

We warrant our workmanship for twelve months from the date of the final visit. If a fixing fails, a joint works loose or a cable run becomes defective because of how it was installed, we will return and correct it at no charge.

The warranty covers labour and the small consumables used in the installation. It does not extend the warranty offered by a manufacturer of a desk, panel, rack or stand, and it does not cover damage caused by misuse, movement of the room contents or alterations made by others.

To make a claim, write to assembly@dawassemble.autos with a description of the issue and, where possible, a photograph. We will arrange an inspection and confirm the outcome in writing.

13. Exclusions and Limits

We do not guarantee an acoustic result in decibels, a specific noise reduction figure or a particular sound character. Acoustics depend on the room, the building and the contents, and our work is to place and mount products with care rather than to promise a measured outcome.

We are not responsible for data loss, for settings on client equipment, for software configuration or for the operation of recording systems after handover. Where a rack must be unplugged, you are responsible for backing up anything that matters before the visit.

Cosmetics such as minor marks behind a panel, a small patch of filler around a fixing or a hole left by a removed anchor are normal consequences of installation and are not treated as defects.

14. Liability

Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be limited.

Subject to that, our total liability for a project is limited to the amount paid for the service giving rise to the claim. We are not liable for indirect or consequential loss, including lost income, lost studio time or loss of reputation.

Where several parties contribute to a loss, our responsibility is limited to the share attributable to our own acts or omissions. We encourage clients to keep appropriate insurance for their equipment and premises.

15. Cancellation and Rescheduling

You may cancel a booking by written notice. If the cancellation arrives more than five business days before the scheduled date, any deposit is refunded less the cost of materials already ordered for the project.

Cancellations within five business days may attract a charge that reflects the lost calendar slot and any non returnable materials. The quotation sets out the exact figure for the project.

Rescheduling is free once if notice is given at least two business days ahead. Further changes may be charged at the standard rate.

We may cancel or reschedule a visit because of illness, unsafe conditions or events outside our control. In that case we will offer the earliest available alternative and refund any amount paid for work not carried out.

16. Intellectual Property

The text, layout, illustrations and code on this website belong to Daw Assemble Inc. or to the parties that licensed them to us. You may read, print and share pages for personal or internal business use, but you may not copy the site into another service or present it as your own.

Drawings, signal maps and rack ledgers prepared for a project are provided for the use of the client at the project address. They may be shared with a future technician, but they may not be published or sold without written permission.

The names Daw Assemble and Daw Assemble Inc., together with the visual identity of the site, are our marks. Nothing in these terms grants a licence to use them.

17. Website Use

The website is provided for information. We try to keep the content accurate and current, but service descriptions, availability and prices may change and a page may occasionally be out of date.

You agree not to interfere with the operation of the site, not to attempt unauthorised access to its systems and not to use automated tools in a way that places an unreasonable load on the server.

Links to other sites are provided for convenience. We do not control those sites and we are not responsible for their content, security or availability.

18. Privacy

Personal information collected through enquiries and projects is handled as described in our Privacy Policy, which forms part of these terms. The policy explains what we collect, why we collect it, how long we keep it and how to make a request about your information.

Please read the Privacy Policy before sending sensitive details through the website. The contact form prepares a message in your own mail application, and the content of that message is stored in our email system once it arrives.

19. Disputes and Governing Law

These terms are governed by the laws of the Province of Ontario and by the federal laws of Canada that apply there. The courts of Ontario have jurisdiction over any dispute that cannot be resolved by discussion.

Before starting formal proceedings, both sides agree to make a genuine attempt to settle the matter. A written summary of the issue, sent to assembly@dawassemble.autos, is the first step and will receive a considered reply.

If a dispute concerns the quality of work, we may ask for an opportunity to inspect and correct the work in accordance with the warranty section above.

20. Events Outside Our Control

We are not liable for a delay or failure caused by an event outside our reasonable control. Examples include severe weather, a building closure, a supplier failure, a transport disruption, a public health restriction or a fire in a neighbouring premises.

Where such an event occurs, we will notify you promptly, agree a revised plan where possible and continue as soon as conditions allow. Amounts paid for work not carried out will be refunded or applied to the revised schedule.

21. General Provisions

If a provision of these terms is found to be unenforceable, the rest of the terms continue to apply. A failure to enforce a provision on one occasion does not waive the right to enforce it later.

You may not transfer your rights under a contract to another person without our written agreement. We may use a subcontractor for part of the work, but we remain responsible for the service as a whole.

Written notice may be sent by email to the address given in the quotation. Notice is treated as received on the next business day after sending, unless the sender receives an error message.

These terms, together with the quotation, the build order and the Privacy Policy, form the entire agreement between the parties for the project.

23. Project Records and Handover

At the end of a project the client receives a handover folder containing the signal map, the rack ledger, the panel drawing and a maintenance card. These documents describe the installed room and help a later technician to understand the work without taking the room apart.

The client is encouraged to keep the folder with the studio equipment. A replacement copy can be issued on request, and we may charge a small fee for the time needed to retrieve and reprint an older record.

Project records are retained as described in the Privacy Policy. Where a record is needed for a warranty claim, it will be kept for the duration of the warranty and for a reasonable period afterwards.
